The content is detailed in Circular 13/2015/TT-BGDDT issued by the Minister of Education and Training, which regulates the organization and operation of private preschools.
According to Circular 13/2015/TT-BGDDT, the General Meeting of Contributing Members includes all contributing members and each member has voting rights. The number of votes for each member corresponds to the contributed capital as stipulated in the Organizational and Operational Regulations of the school and kindergarten.
To be specific: The General Meeting of Contributing Members has the following rights and duties:
- Determine the objectives and directions for the construction and development of the school and kindergarten;- Elect, dismiss, and discharge members of the Board of Directors and members of the Supervisory Board; deal with urgent requests for the addition or replacement of members of the Board of Directors during the term, proposing the competent authority to issue a recognition decision;- Approve the Organizational and Operational Regulations of the school and kindergarten, and the annual financial statements of the school and kindergarten;- Approve the internal regulations of the school and kindergarten regarding the criteria for selecting the Board of Directors, Supervisory Board, and the principal;- Perform other rights and duties as stipulated in the Organizational and Operational Regulations of the school and kindergarten.
Furthermore, Circular 13 also provides some notes when conducting the General Meeting of Contributing Members. To be specific:
- The General Meeting of Contributing Members meets at least once a year or in extraordinary cases as decided by the Board of Directors.- In cases where the Board of Directors severely violates the Organizational and Operational Regulations of the school and kindergarten, the Supervisory Board has the right to convene an emergency General Meeting of Contributing Members and simultaneously inform the Board of Directors.- The conditions for conducting the meeting are carried out according to the law and the Organizational and Operational Regulations of the school and kindergarten.- The content of the meetings must be recorded in minutes, approved during the meeting, and signed by the chairperson and the secretary of the meeting. The resolutions of the meeting are passed by voting or secret ballot at the meeting and only take effect when more than half of the votes are in favor.
