Regulations on the Organization, Management, and Operation of Vietnam Electricity Group

Circular 26 stipulates that the Company's Charter mandates Electric Power Corporation (EVN) to represent the Vietnam National Power Group in carrying out common activities in relations with third parties both domestically and internationally, or other activities in the name of the Vietnam National Power Group according to the Charter of organization and operation of member enterprises or agreements with member enterprises and related legal regulations.

EVN exercises the rights and obligations of the owner, shareholder, and member at member units to coordinate and orient the activities of the Vietnam National Power Group as follows:

- Utilize the management and executive apparatus at EVN to research, formulate strategies, propose coordination solutions, and orient activities to submit to the EVN Members' Council for approval; through Representatives at subsidiary and affiliated companies to implement coordination and orientation contents.- Through the execution of contracts with subsidiaries and affiliated companies to coordinate and orient the activities of the Vietnam National Power Group.- Develop unified regulations within the Vietnam National Power Group.

Decree 26 stipulates the coordination and orientation contents of EVN as follows:

- Develop and organize the implementation of development strategies, and common business coordination plans of the Vietnam National Power Group; orient the business strategies of subsidiaries according to the development strategies and common business coordination plans of the Vietnam National Power Group; develop and organize the implementation of unified management, administration regulations, and standards within the Vietnam National Power Group.- Classify member enterprises according to their position and importance in the general development strategy of the Vietnam National Power Group; determine the list of main business sectors, and key member enterprises; orient member enterprises according to major business sectors; manage and orient Representatives to ensure EVN's controlling rights in key enterprises.- Orient the medium and long-term business production plans of member units.- ...- Organize the supervision, coordination, and cooperation among departments in EVN.- Other activities in accordance with legal regulations, this Charter, and the Charters of subsidiaries and affiliated companies,

EVN and its subsidiaries and affiliated companies have the rights and obligations of enterprises according to legal regulations; bear their own responsibility before the law for their business activities; are bound by rights and obligations under contracts and agreements between enterprises.

The coordination and orientation within the Vietnam National Power Group must comply with legal regulations; Charters of subsidiaries and affiliated companies; rights of the owner at EVN or agreements between EVN and its subsidiaries and affiliated companies; EVN's position concerning each activity to cooperate with its subsidiaries and affiliated companies.

In cases where EVN abuses its position, intervenes beyond the owner's authority, member, or shareholder or contrary to the agreements between member units, causing harm to the interests of member units and related parties, EVN and the related persons shall be responsible in accordance with legal regulations.
