On October 23, 2024, the Government of Vietnam issued Decree 137/2024/ND-CP regulating e-transactions of state agencies and information systems serving e-transactions in Vietnam.

Decree 137/2024/ND-CP regulates e-transactions of state agencies and information systems serving e-transactions, including conversion between paper documents and data messages; activities of state agencies in the electronic environment; information systems serving e-transactions; responsibilities of the managing entities of intermediary digital platforms serving large-scale, very large-scale e-transactions, and network trust criteria of information systems serving e-transactions.

Within this, Article 17 of Decree 137/2024/ND-CP stipulates the classification of information systems serving e-transactions by user scale as follows:

(1) A user of an information system serving e-transactions is deemed to be using the system when they engage in at least one activity: logging in, accessing information, or using services on that information system.

(2) A large-scale information system serving e-transactions is defined as a system with an average monthly user number in Vietnam from 3% to 10% of the total population, according to the latest official publication from the competent authority.

(3) A very large-scale information system serving e-transactions is defined as a system with an average monthly user number in Vietnam exceeding 10% of the total population, according to the latest official publication from the competent authority.

(4) The data used to determine the scale of the information system serving e-transactions as specified in (2) and (3) is the average number of users with activities on the platform over the last 12 months.

(5) The Ministry of Information and Communications periodically evaluates, researches, proposes amendments, and supplements classifications of information systems serving e-transactions appropriate to practical conditions.

Regulations on Classification of Information Systems for e-transactions by Functions and Features in Vietnam

Article 16 of Decree 137/2024/ND-CP classifies information systems serving e-transactions by functions and features in Vietnam, as follows:

(1) Information systems serving e-transactions have the primary functions and features that allow: granting and authenticating electronic transaction accounts; concluding electronic contracts or performing unilateral legal acts to establish, modify, or terminate the rights and obligations of involved parties through electronic means, classified as follows:

- Resolving administrative procedures in the electronic environment;

- e-transactions in commercial activities;

- e-transactions in financial activities;

- e-transactions in banking activities;

- e-transactions in other activities.

(2) Ministers, heads of ministerial-level agencies, Chairpersons of Provincial People's Committees issue regulations under their authority or submit to authorities competent to issue regulations on the conclusion and execution of electronic contracts, and information systems serving e-transactions in fields under their assigned tasks and authority, consistent with practical conditions.

More details can be found in Decree 137/2024/ND-CP, which comes into force in Vietnam from October 23, 2024.
