Our company currently wants to expand to a new business sector but we are unsure of the procedure. Do we need to register the changes in the certificate of enterprise registration?
Enterprises that need to add or change their business lines do not need to register to change the content of the Certificate of Business Registration but only need to notify the Business Registration Authority about the changes in the business lines. Specifically, as stipulated in Article 32 of the Law on Enterprises 2014:

- Enterprises must notify the Business Registration Authority when changing one of the following contents:
a) Changes in business lines;...
The following procedures for notifying about the addition or change of business lines are based on the provisions of Article 49 Decree 78/2015/ND-CP:
- Name, business code, tax code, or the number of Certificate of Business Registration (in the case that the enterprise has no business code or tax code);
- Registered business lines to be added or changed;
- Name, signature of the legal representative of the enterprise.
- The Notification must be accompanied by the Decision and a valid copy of the meeting minutes of the Members' Council for a limited liability company with two or more members; of the General Meeting of Shareholders for a joint-stock company; and of the members for a partnership; the decision of the company owner for a single-member limited liability company regarding the addition or change of business lines. The Decision and meeting minutes must clearly state the specific changes to be made to the company's charter.
Thus, enterprises that need to add business lines only need to notify the Business Registration Office where the enterprise is registered with the dossier and procedures mentioned above.
