The divided company is a joint-stock company, with this type of procedure needing to be carried out as follows:
Step 1: Prepare the dossier
The composition of the dossier includes:
- Resolution on company division;- A valid copy of the minutes of the meeting of the General Meeting of Shareholders on the division of the company;- A valid copy of the Certificate of Business Registration or other equivalent documents of the divided company;- Business registration dossier of the joint-stock company for the new company.- Application for registration of a joint-stock company;- List of founding shareholders;- List of shareholders who are foreign investors;- List of authorized representatives.
Step 2: Submit the dossier
Procedure to follow:
- The General Meeting of Shareholders of the divided company passes a resolution on the division of the company in accordance with the provisions of the Law on Enterprises and the company's Charter.- The resolution on the division of the company must be sent to all creditors and notified to employees within 15 days from the date the resolution is passed.- Shareholders of the newly established company approve the Charter, elect or appoint the Board of Directors, Director or General Director, and carry out enterprise registration in accordance with the Law on Enterprises.- The divided company ceases to exist after the new companies are granted the Certificate of Business Registration. The new companies must jointly be responsible for the unpaid debts, labor contracts, and other property obligations of the divided company or reach an agreement with creditors, customers, and employees for one of the companies to fulfill these obligations.- Quantity of dossier: 01 set.- Processing time: Within 03 working days from the date of receipt of a complete and valid dossier.- Fee: 200,000 VND per submission, paid at the time of dossier submission.
