Organizational structure of private intermediate professional schools in Vietnam

This is a noteworthy content in Circular 39/2012/TT-BGDDT issued by the Ministry of Education and Training promulgating the regulations on the organization and operation of private intermediate professional schools in Vietnam.

According to Article 7 of the Regulation issued together with Circular 39/2012/TT-BGDDT, it is stipulated that private intermediate professional schools should have an organizational management structure that ensures the requirements prescribed in the Charter of intermediate professional schools and is suitable for the conditions and scale of the school. The organizational structure of a private intermediate professional school includes:

- Board of Directors.

- Principal and Vice Principals.

- Supervisory Board.

- Functional departments.

- Faculties and subject divisions under the school.

- Subject divisions under the faculties.

- Classes.

- Advisory councils, facilities serving education and scientific research.

- Communist Party of Vietnam organization and other social organizations and unions.

Additionally, in Article 8 of this Regulation, it is also stipulated that the general meeting of shareholders is the general assembly of all shareholders, and is the highest decision-making body of the school. The general meeting of shareholders in Vietnam has the following rights and duties:

- Determine the goals and directions for the school's development plan; orientate adjustments to vocational, educational levels, scale of training, scientific activities, technology in line with the school's development strategy and state regulations;

- Elect, remove, and dismiss members of the Board of Directors and members of the Supervisory Board of the school; resolve requests to supplement or change members of the Board of Directors during the term and propose recognition to the competent authority;

- Approve the school's internal financial regulations and annual financial reports;

- Approve the school's organizational and operational regulations;

- Other rights and duties as prescribed in the school's organizational and operational regulations.

Particularly, the annual general meeting of shareholders must be held once a year, convened by the Board of Directors within the first 4 months of the fiscal year in Vietnam.

More details can be found in Circular 39/2012/TT-BGDDT, which comes into effect in Vietnam from December 20, 2012.
