Enterprise Law 2020 recently approved by the National Assembly on June 17, 2020, will be effective from January 01, 2021.

To be specific: under Clause 1, Article 26 of the Enterprise Law 2020, it is stipulated that the person establishing the enterprise or the person authorized to perform enterprise registration with the Business Registration Office through the following methods:
- Registering the enterprise directly at the Business Registration Office;
- Registering the enterprise through postal services;
- Registering the enterprise via electronic information network.
Enterprises should note that registering an enterprise via electronic information network means the person establishing the enterprise submits the enterprise registration dossier via the electronic information network at the National Business Registration Portal. The enterprise registration dossier via electronic information network includes data as prescribed by this Law and is presented in electronic document format. The enterprise registration dossier via electronic information network has legal validity equivalent to the enterprise registration dossier in paper form.
Organizations and individuals have the right to choose to use a digital signature according to the regulations of the law on electronic transactions or use a business registration account to register the enterprise via electronic information network. A business registration account is an account created by the National Business Registration Information System, issued to an individual to perform enterprise registration via electronic information network. The individual issued a business registration account is responsible before the law for the registration to obtain and use the business registration account to register the enterprise via electronic information network.
Additionally, under Clause 5, Article 26 of the Enterprise Law 2020, it is also stipulated that within 3 working days from the date of receipt of the dossier, the Business Registration Office is responsible for reviewing the validity of the enterprise registration dossier and issuing an enterprise registration; in case the dossier is not valid, the Business Registration Office must notify in writing the content that needs to be amended or supplemented to the person establishing the enterprise. In case of refusal to register the enterprise, the Business Registration Office must notify in writing to the person establishing the enterprise and clearly state the reason.
