Guidelines for Notarization When Amending, Supplementing, or Canceling Contracts

On December 29, 2015, the Minister of Justice signed and promulgated Circular 20/2015/TT-BTP detailing and guiding the implementation of Decree 23/2015/ND-CP on the issuance of copies from the originals, certification of copies from the originals, certification of signatures, and certification of contracts and transactions.

To be specific, the notarization process for modifying, supplementing, and canceling contracts and transactions is guided by Circular 20/2015/TT-BTP as follows:

- When requesting to modify, supplement, or cancel a contract or transaction as stipulated in Article 38 of Decree 23/2015/ND-CP, the requesting party must present valid identification for verification and submit 01 set of documents including the following papers:

- The contract or transaction that has been notarized;- The draft contract or transaction amending, supplementing, or canceling the notarized contract or transaction.

- In cases where the modification or supplementation involves assets, the requesting party must submit a copy along with the original for comparison of the certificate of ownership or use rights, or a copy of legally prescribed replacement documents for assets that require registration of ownership or use rights; except in cases where the testator's life is endangered.
