Guidance on Issuance of Business Registration Certificate

Circular 20/2015/TT-BKHDT

Circular 20/2015/TT-BKHDT replaces Circular 01/2013/TT-BKHDT stipulating the issuance of enterprise registration certificates, which replace the business registration contents in the investment certificate as follows:

Enterprise Requests for Issuance of an Enterprise Registration Certificate without Changing Business Registration Contents:

The enterprise submits the application to the Business Registration Office where the enterprise is headquartered. The application includes:

- A valid copy of the Investment Certificate;- A valid copy of the Taxpayer Registration Certificate;- An application form for additional, updated enterprise registration information (as specified in Appendix II-18 issued with this Circular).

Enterprise Requests for Issuance of Branch, Representative Office Operation Registration Certificates, or Business Location Registration Certificates without Changing Operation Registration Contents:

The enterprise submits the application to the Business Registration Office where the branch, representative office, or business location is headquartered. The application includes:

- A valid copy of the Investment Certificate or Certificate of Branch, Representative Office Operation Registration issued by the investment registration authority;- A valid copy of the Taxpayer Registration Certificate;- An application form for additional, updated operation registration information (Appendix II-19).

According to Circular 20, in the case of enterprise registration, notification of change in enterprise registration contents, temporary business suspension, resumption of business ahead of the notified date, enterprise dissolution, or notification of the enterprise's seal sample, the application is submitted to the Business Registration Office where the enterprise is headquartered. The application includes:

- A valid copy of the Investment Certificate;- A valid copy of the Taxpayer Registration Certificate;- An application form for additional, updated enterprise registration information (Appendix II-18).

Enterprise Registration for Branch, Representative Office Activities, Changes in Operation Registration Contents, Temporary Suspension of Operation, Resumption before the Notified Date, Termination of Operation, Notification of Seal Sample of Branch, Representative Office:

The enterprise submits the application to the Business Registration Office where the branch, representative office is headquartered. The application includes papers specified in Decree 78/2015/ND-CP and an application form for additional, updated operation registration information (Appendix II-19).

- In case the branch operates under the Investment Certificate, in addition to the mentioned papers, the application must include a valid copy of the Investment Certificate and a valid copy of the branch's Taxpayer Registration Certificate.- If the enterprise performs these procedures in a province or city under the central management different from where the enterprise is headquartered, the respective Business Registration Office must contact and cooperate with the Business Registration Office where the enterprise is headquartered to receive and process the application.

Registration for New Establishment, Changes in Operation Registration Contents, Temporary Suspension of Operation, Resumption before the Notified Date, Termination of Business Locations Subordinate to the Enterprise:

The enterprise submits the application to the Business Registration Office where the enterprise is headquartered. In addition to the respective papers specified in Decree 78/2015/ND-CP, the application must include an application form for additional, updated operational registration information (Appendix II-19). If the subordinate body is a branch, the enterprise submits the application to the Business Registration Office where the branch is headquartered.

- If the enterprise performs these procedures in a province or city under the central management different from where the enterprise is headquartered, the respective Business Registration Office must contact and cooperate with the Business Registration Office where the enterprise is headquartered to receive and process the application.
