Enterprises in Vietnam must establish and maintain their websites before June 30, 2015

This is an important provision specified in Circular 02/2015/BKHDT providing guidance on information disclosure of wholly state-owned single-member limited liability companies, issued by the Minister of Planning and Investment of Vietnam on April 16, 2015.

According to Article 5 of Circular 02/2015/TT-BKHDT, no later than June 30, 2015, enterprises, agencies exercising the owner's rights, and the Ministry of Planning and Investment of Vietnam must perform the following tasks:

1. For enterprises in Vietnam:

- Enterprises must build and maintain an electronic information page, ensuring connection with the electronic information page of the agency exercising the owner's rights of the enterprise and the Vietnam Enterprise Portal of the Ministry of Planning and Investment (http://www.business.gov.vn).

- The electronic information page of the enterprise must have a dedicated section for information disclosure, including the enterprise's Charter, Corporate Governance Regulations (if any), the list of the Board of Members or Chairman of the company, Controllers, General Director or Director, Deputy General Directors or Deputy Directors, information to be disclosed regularly, irregularly and as required stipulated in Decision No. 36/2014/QD-TTg.

2. For the agency exercising the owner's rights in Vietnam:

The agency exercising the owner's rights must establish and maintain its own electronic information page, ensuring connection with the electronic information page of the enterprise. The agency exercising the owner's rights is responsible for openly publishing the information of the enterprise on its electronic information page within five (05) working days after receiving the information disclosure content from the enterprise. The agency exercising the owner's rights must bear the responsibility to publish the information of the enterprise in a timely manner, ensuring the disclosed information is easily accessible and convenient.

3. Ministry of Planning and Investment of Vietnam:

The Ministry of Planning and Investment (Department of Enterprise Development) must maintain the Vietnam Enterprise Portal, ensuring connection with the enterprise's electronic information page. The Ministry of Planning and Investment (Department of Enterprise Development) is responsible for openly publishing the information disclosure content of enterprises on the Vietnam Enterprise Portal http://www.business.gov.vn within five (05) working days after receiving the information disclosure content from the enterprise; ensuring the disclosed information is easily accessible and convenient. In addition to the written information disclosure content, the electronic information disclosure content of the enterprise is sent to the email address info@.business.gov.vn.

More details can be found in Circular 02/2015/TT-BKHDT, which comes into effect in Vietnam from June 22, 2015.
