Enterprise Seal, Essential Information to Know!

Every business must have its own seal, as it is an indispensable tool for the operation of any enterprise. So what are the legal regulations regarding the form and content of the seal?

Newly established enterprises, at a certain point, will have their own company seal. However, not all enterprises know how to obtain a "correct" seal that is compliant with the law. The purpose of this article is to provide readers with regulations on company seals. To be specific:

The number, form, content, and template of the seal, as well as the management and usage of the seal, are decided by the sole proprietor, the Members' Council or the company president, and the Board of Directors unless the company's charter provides otherwise.

The contents of the charter or the decision on the company seal must include:

- Template of the seal, including: Form, size, content, ink color of the seal.- Number of seals.- Regulations on the management and usage of the seal.

The company seal template is presented in a specific form, which can be round, polygonal, or another shape. The form of the seal can be chosen, but each company's seal must ensure consistency in content, form, and size.

The content of the seal must clearly display information about the enterprise code and the company name in the seal template as prescribed by the Law on Enterprises 2014. Additionally, the enterprise can add other languages or images to the seal template, except for content prohibited by law.

Enterprises are not allowed to use the following images, words, or symbols in the content or form of the seal template:

- The national flag, national emblem, flag of the Communist Party of the Socialist Republic of Vietnam.- Images, symbols, and names of the state, state organs, people's armed units, political organizations, socio-political organizations, socio-political-professional organizations, social organizations, and socio-professional organizations.- Words, symbols, and images that violate the historical, cultural, ethical traditions, and customs of the Vietnamese nation.

The aforementioned contents are detailed in Law on Enterprises 2014 and Decree 96/2015/ND-CP.
