08 Abnormal Cases Requiring Information Disclosure by State-Owned Enterprises

On January 01, 2021, Enterprise Law 2020 approved by the National Assembly on June 17, 2020, will take effect.

08 unusual cases that must be disclosed by state-owned enterprises (SOEs) - Illustrative image.

According to Clause 1, Article 110 of the Enterprise Law 2020, the company is required to announce on its website, publications (if any), and publicly post at the head office and business locations of the company the unusual information within 36 hours from the occurrence of any of the following events:

  1. The company's account is frozen or allowed to operate again after being frozen;
  2. Partial or complete suspension of business activities; revocation of the Enterprise Registration Certificate, establishment license, establishment and operation license, operation license or other licenses related to the company's activities;
  3. Amendment and supplementation of the contents of the Enterprise Registration Certificate, establishment license, establishment and operation license, operation license or other licenses related to the company's activities;
  4. Change in members of the Members' Council, the Chairman of the company, Director, Deputy Director or General Director, Deputy General Director, Chief Accountant, Head of the Finance and Accounting Department, Chief Inspector or Inspector;
  5. Disciplinary decisions, prosecution, court judgments, or court decisions against the business manager;
  6. Conclusions by the inspection agency or the tax management agency on the enterprise's violation of the law;
  7. Decisions to change the independent auditing organization or refusals to audit financial statements;
  8. Decisions to establish, dissolve, merge, consolidate, convert subsidiaries, branches, representative offices; investment decisions, capital reduction or divestment from other companies.
