03 Requirements on the Charter of private intermediate professional schools in Vietnam

This is a notable content in Circular 39/2012/TT-BGDDT issued by the Ministry of Education and Training, promulgating the regulations on the organization and operation of private intermediate professional schools in Vietnam, issued on November 5, 2012.

According to Article 6 of the Regulation issued together with Circular 39/2012/TT-BGDDT, it is stipulated that the establishment, permission for educational activities, suspension of educational activities, merger, division, separation, dissolution, and establishment of branch campuses of private intermediate professional schools shall be implemented according to the Charter of Vocational Secondary Schools and the following provisions:

Firstly, the merger, division, separation, and establishment of branch campuses of private intermediate professional schools must ensure the following principles:

- Decided by the General Assembly of Shareholders of the school on the merger, division, separation, or establishment of branch campuses of the school;- A feasible project clarifying the use of teachers, staff, and workers of the school, the interests of students, the plan, time, and roadmap for implementing the merger, division, separation, or establishment of branch campuses; procedures and deadlines for asset conversion, capital contribution conversion, and shares.

Secondly, the establishment of branch campuses (if any) shall only be carried out when the school has had at least 5 years of educational operation (from the effective date of the decision allowing the school to conduct educational activities). Branch campuses of private intermediate professional schools shall be subject to the management and administration of private intermediate professional schools, shall not have independent legal status, and shall be subject to the management of the Department of Education and Training where the branch campus is located concerning educational activities.

Thirdly, the dissolution of private intermediate professional schools must clearly state the reasons and must have measures to ensure the rights and benefits of teachers, staff, workers, and students as well as the plan to handle the school’s assets, ensuring publicity, transparency, and adherence to the law.
