Where to Submit Branch Establishment Application?

Pursuant to the provisions of Clause 1, Article 31 of Decree 01/2021/ND-CP:

Enterprises submit branch operation registration dossiers at the Business Registration Office where the branch or representative office is located. The dossier includes the following documents:

- Notification of establishment of branch or representative office signed by the legal representative of the enterprise;

- A copy of the resolution, decision, and a copy of the minutes of the meeting of the Members' Council for limited liability companies with two or more members, partnerships, and the Board of Directors for joint stock companies; a copy of the resolution or decision of the company owner for single-member limited liability companies regarding the establishment of the branch or representative office;

- A copy of the legal documents of the individual for the head of the branch or representative office.

Thus, in the case where your company is headquartered in Hanoi but plans to open a branch in Ho Chi Minh City, you must submit the branch operation registration dossier at the Business Registration Office under the Department of Planning and Investment of Ho Chi Minh City.
