Procedure for Converting a Foreign Law Firm Branch into a 100% Foreign-Owned Limited Liability Law Firm
Legal Basis: Article 34 Decree 123/2013/ND-CP.
Dossier
- Application for conversion by the foreign law practice organization, which clearly states the commitment of the foreign law practice organization to inherit all rights and obligations of the converted branches;
- Draft charter of the 100% foreign-invested limited liability law firm;
- Copy of the Establishment License and Operating Registration Certificate of the converted branches;
- List of lawyers expected to work at the 100% foreign-invested limited liability law firm;
- Copy of documents proving the headquarters in case of change of headquarters.
Authority to resolve: Ministry of Justice
Order and procedures
- Submit the dossier to the Ministry of Justice;
- Within 30 days from the date of receipt of a complete and valid dossier, the Ministry of Justice shall decide to issue the Establishment License for the 100% foreign-invested limited liability law firm in Vietnam.
In case of refusal, a written notice stating the reasons must be provided.
- After being granted the Establishment License for the 100% foreign-invested limited liability law firm in Vietnam => Procedures for operation registration, publication, notification of the establishment of the 100% foreign-invested limited liability law firm shall be carried out in accordance with the provisions of Article 79 of the Law on Lawyers 2006 and Article 30 Decree 123/2013/ND-CP.
