When will the capital contribution contract in Vietnam be terminated?

Article 422 of the Civil Code 2015 stipulates as follows:

Article 422. Termination of contracts

A contract is terminated in the following cases:

1. The contract has been completed;

2. As agreed by the parties;

3. The individual who entered the contract dies, or the legal entity enters into the contract ceases to exist, and the contract requires execution by that specific individual or legal entity;

4. The contract is canceled or unilaterally terminated;

5. The contract cannot be performed because the subject of the contract no longer exists;

6. The contract is terminated in accordance with Article 420 of this Code ;

7. Other cases as prescribed by law.

The contract will be terminated under one of the following circumstances:

- The contract has been completed;

- The parties agree to terminate the contract;

- The individual who entered the contract dies, or the legal entity enters into the contract ceases to exist, and the contract requires execution by that specific individual or legal entity;

- The contract is canceled or unilaterally terminated;

- The contract cannot be performed because the subject of the contract no longer exists;

- The contract is terminated due to the inability to agree on contract modification within a reasonable timeframe when there is a fundamental change in circumstances;

- Other cases as prescribed by law.
