Is business registration required for external extra classes in Vietnam?

Under Article 6 of Circular 29/2024/TT-BGDDT (effective from February 14, 2025) on external extra classes:

External extra classes

1. Organizations or individuals providing external extra classes with fees for students (hereinafter referred to as extra class centers) must fulfill the following requirements:

a) Register the business in accordance with the law;

...

Thus, according to the above regulation, organizations or individuals organizing external extra classes that charge students (hereinafter referred to as extra teaching facilities) must register business under the law.

What does the business registration application for external extra classes in Vietnam include?

Organizations or individuals applying for business registration for external extra classes can register the business under one of the following types: sole proprietorships, partnerships, limited liability companies, joint-stock companies, or household businesses. The business registration applications for these types are as follows:

(1) Business registration application for sole proprietorships

According to Article 21 of Decree 01/2021/ND-CP, the business registration application for sole proprietorships comprises:

- The application form for enterprise registration.

- The copies of legal documents of the sole proprietor.

(2) Business registration application for partnerships

According to Article 22 of Decree 01/2021/ND-CP, the business registration application for partnerships comprises:

- Application form for enterprise registration.

- The company’s charter.

- List of general partners.

- Copies of the following documents:

+ Legal documents of general partners that are individuals; Legal documents of general partners that are organizations; Legal documents of authorized representatives and letters of appointment of authorized representatives.

If a general partner is a foreign organization, copies of legal documents of that organization must be legalized;

+ Investment registration certificate if the enterprise is founded or co-founded by foreign investors or foreign-invested business entities in accordance with the Law on Investment and its guiding documents.

(3) Business registration application for multi-member limited liability companies, joint-stock companies

According to Article 23 of Decree 01/2021/ND-CP, the business registration application for multi-member limited liability companies, joint-stock companies comprises:

- Application form for enterprise registration.

- The company’s charter.

- List of members of the multi-member limited liability company; lists of founding shareholders and shareholders that are foreign investors of the joint-stock company.

- Copies of the following documents:

+ Legal documents of the enterprise’s legal representative;

+ Legal documents of members or founding shareholders and foreign shareholders that are individuals; legal documents of members or founding shareholders and foreign shareholders that are organizations; legal documents of authorized representatives of members or founding shareholders and foreign shareholders that are organizations and their letters of appointment of authorized representatives.

If a member or shareholder is a foreign organization, copies of legal documents of that organization must be legalized;

+ Investment registration certificate if the enterprise is founded or co-founded by foreign investors or foreign-invested business entities in accordance with the Law on Investment and its guiding documents.

(4) Business registration application for single-member limited liability companies

According to Article 24 of Decree 01/2021/ND-CP, the business registration application for single-member limited liability companies comprises:

- Application form for enterprise registration.

- The company’s charter.

- Copies of the following documents:

+ Legal documents of the enterprise’s legal representative;

+ Legal documents of the company’s owner that is an individual; Legal documents of the company’s owner that is an organization (except for the State); Legal documents of the authorized representative and letter of appointment of authorized representative.

If the company’s owner is a foreign organization, copies of legal documents of that organization must be legalized;

+ Investment registration certificate if the enterprise is founded by a foreign investor or foreign-invested business entity in accordance with the Law on Investment and its guiding documents.

(5) Business registration application for household businesses

According to clause 2 Article 87 of Decree 01/2021/ND-CP, the business registration application for household businesses comprises:

- The application form for household business registration;

- Legal documents of the owner of the household business or family household members applying for household business registration;

- The copy of the minutes of meeting of family household members on establishment of household business in case the household business is established by family household members;

- The copy of the letter of authorization made by the family household members to authorize a person to act as the owner of the household business in case the household business is established by family household members.

Note: In addition to the above documents, organizations or individuals applying for business registration for external extra classes must also meet the following requirements:

- Publicly disclose on electronic portals or post at the location of the extra class center regarding the subjects for which extra class is organized; the duration of extra class for each subject according to each grade; the location, form, and schedule of extra class sessions; the list of teachers of extra classes and the fees for extra class before enrolling students in extra classes (according to Form No. 02 in the Appendix attached to Circular 29/2024/TT-BGDDT).

- External extra classes must ensure good moral character and possess the professional capacity suitable for the subject they are extra class.

- Teachers teaching at schools who wish to provide external extra classes must report to the Principal or Director or head of the school (hereinafter referred to as the Principal) regarding the subject, location, form, and schedule of their extra classes (according to Form No. 03 in the Appendix attached to Circular 29/2024/TT-BGDDT).

What are the rules of extra classes in Vietnam?

Under Article 3 of Circular 29/2024/TT-BGDDT (effective from February 14, 2025), the rules of extra classes are as follows:

- Extra classes are only organized when students wish to attend extra classes and have consent from parents or guardians (hereinafter collectively referred to as parents). Schools, organizations, or individuals organizing extra classes are not allowed to force students into extra classes in any manner.

- The content of extra classes must not contravene the regulations of Vietnamese law, and must not bear biases regarding race, religion, occupation, gender, or social position. There shall be no omission of educational content according to the school's educational plan to include in extra class sessions.

- The purpose of extra classes must contribute to the development of students' qualities and abilities; it must not affect the organization of the school’s education program or the implementation of the subject curriculum by teachers.

- The duration, time, location, and form of organizing extra class sessions must be suitable to the psychological and physical condition of the age group, ensuring students' health; must comply with the legal regulations about working hours, overtime, and other relevant legal regulations concerning security, order, safety, environmental hygiene, and fire prevention in the area where extra classes are held.
