1. Business lines of Vietnam National Coal and Mineral Industries Group

The business lines of Vietnam Coal and Mineral Industries Group (TKV) include:

* Main business sectors:

- Coal industry: survey, exploration, investment, construction, mining, transportation, screening, processing, purchase, sale, export, and import of coal products, mine gas, underground water in mines. and other minerals associated with coal.

- Mineral industry - metallurgy: Surveying, exploration, investment, construction, mining, transportation, screening, enriching ore, metallurgy, processing, manufacturing, buying, selling, exporting, and importing mineral products.

- Power industry: investment, construction, electricity production; buy and sell electricity.

- Industrial explosives: producing, buying, selling, storing, using, importing, and exporting industrial explosives and ammonium nitrate.

* Industry and trade related to the main business line:

- Mechanical industry.

- Chemical industry and building materials.

- Port management and operation; transportation, pilotage, warehousing.

- Construction of mining, civil, industrial, and traffic works.

- Geological exploration and survey; technical, scientific, and technological consulting and investment; check product; training, medical; prevention, response, handling, and remedy of mine incidents; activities to protect and restore the environment.

If the business lines and businesses invested in by Vietnam Coal and Mineral Industries Group are not in the above industries,
Vietnam National Coal and Mineral Industries Group shall hold and divest capital according to the content and schedule approved by the Prime Minister.

Depending on the time and situation of production and business, Vietnam Coal and Mineral Industries Group may add other industries and trades that are not prohibited by law after being approved by the Prime Minister.

2. Charter capital of Vietnam National Coal and Mineral Industries Group

The charter capital of TKV is 35,000,000,000,000 VND (thirty-five thousand billion VND).

The adjustment of charter capital shall comply with the provisions of law.

3. Basic functions and tasks of Vietnam Coal and Mineral Industries Group

Vietnam Coal and Mineral Industries Group (TKV) has the following basic functions and tasks:

- Financial investment in subsidiaries, affiliated companies; to govern subsidiaries and affiliated companies according to the extent of their holding of charter capital in accordance with the law and this Charter;

- Directly doing profitable and effective business in accordance with the law;

- Exercising rights and obligations of owners of capital shares in subsidiaries and affiliated companies in proportion to TKV's investment capital in these enterprises. The economic relations arising between TKV and its subsidiaries and associates are expressed in contracts;

- Vinacomin is assigned by the State to perform the function of managing the mineral resources of coal, bauxite, copper, iron, gold, silver, tin, zinc, and other minerals according to the provisions of law;

- The focal point for performing tasks that the State directly assigns Vinacomin to organize and perform within the Group of Vinacomin companies, including: Industrial encouragement; receive and allocate budget capital; making and operating the business coordination plan; orientation of assignment of fields of operation and production and business lines of the member enterprises; organize financial, accounting and statistical work; the formation, management and use of centralized costs; labor, salary, health care, training and human resource development; occupational safety, natural disaster prevention, and environmental protection; application of science and technology; naming units in the Group of Vinacomin companies; use the name and trademark of TKV Group; administrative work, foreign affairs and personnel procedures for entry and exit; emulation and commendation, culture, sports, social work and other contents as agreed upon by member enterprises of TKV Group of companies.
