Vietnam: Some notes on expungement of fully divided companies, consolidating companies and acquired companies

According to Circular No. 20/2015/TT-BKHĐT of the Ministry of Planning and Investment of Vietnam, if the business registration information of an acquirer company remains constant after the acquisition, the acquirer shall submit a notification of expungement of the acquired company made according to the form in the Annex II-E of this Circular to the Business Registration Office where the acquirer’s headquarters is situated within 10 working days from the date of completion of acquisition.

In case, the acquired company is located in a different province or central-affiliated city other than that where the acquirer is headquartered, the Business Registration Office where the acquirer is headquartered shall cooperate with the Business Registration Office where the acquired company’s headquarters is placed in expunging the acquired company.
